Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Revenue Orbit CRM platform and website (collectively, the "Service") provided by Revenue Orbit ("we", "us", "our"). By accessing or using the Service, you agree to be bound by these Terms.

1. Eligibility

You must be at least 16 years old and have the legal authority to enter into these Terms on behalf of yourself or the organization you represent. By creating an account, you confirm that you meet these requirements.

2. Account Registration

To use the CRM platform, you must create an account with accurate and complete information. You are responsible for:

• Maintaining the security of your account credentials
• All activity that occurs under your account
• Notifying us promptly of any unauthorized access

We reserve the right to suspend or terminate accounts that violate these Terms.

3. Use of the Service

You may use the Service for lawful business purposes in accordance with these Terms. You agree not to:

• Use the Service for any unlawful purpose or to transmit harmful content
• Attempt to gain unauthorized access to our systems or other users' accounts
• Interfere with or disrupt the integrity or performance of the Service
• Reverse-engineer, decompile, or disassemble any part of the Service
• Use the Service to send unsolicited bulk communications (spam)
• Resell access to the Service without our written consent

4. Your Data

You own your data. All content, contacts, deals, files, contracts, quotes, and other information you enter into the CRM remains your property. We do not claim ownership of your data.

You grant us a limited license to process, store, and display your data solely for the purpose of providing the Service. We will handle your data in accordance with our Privacy Policy.

5. Free Plan & Paid Plans

Free Plan: The Free plan allows up to 3 users per organization at no cost. Free plan features and limits may be adjusted over time with reasonable notice. The Free plan is intended for legitimate business use.

Paid Plans: Access to additional features and higher user limits requires a paid subscription. By subscribing, you agree to:

• Pay the applicable fees as described at the time of purchase
• Provide accurate billing information
• Authorize recurring charges for your subscription period

Subscriptions renew automatically unless cancelled before the renewal date. You may cancel at any time; cancellation takes effect at the end of the current billing period. We do not offer refunds for partial billing periods.

Pricing may be adjusted with 30 days notice for existing subscribers. Any price changes will take effect at the start of the next billing period following the notice.

6. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control. We will make reasonable efforts to notify you of planned downtime in advance.

7. Intellectual Property

The Service, including its design, code, features, and branding, is owned by Revenue Orbit and protected by intellectual property laws. These Terms do not grant you any rights to our trademarks, logos, or other brand features.

8. Limitation of Liability

To the maximum extent permitted by law, Revenue Orbit shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from your use of the Service.

Our total liability for any claim arising from these Terms or the Service shall not exceed the amount you paid to us in the 12 months preceding the claim.

9. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.

10. Indemnification

You agree to indemnify and hold Revenue Orbit harmless from any claims, damages, or expenses (including reasonable legal fees) arising from your use of the Service, your violation of these Terms, or your infringement of any third-party rights.

11. Termination

Either party may terminate these Terms at any time. Upon termination:

• Your access to the Service will be revoked
• You may request an export of your data within 30 days
• After 90 days, your data will be permanently deleted

We may terminate or suspend your account immediately if you violate these Terms.

12. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by email or through the Service. Continued use of the Service after changes take effect constitutes your acceptance of the revised Terms.

13. Governing Law

These Terms are governed by the laws of the Province of Ontario, Canada, without regard to conflict of law principles. Any disputes will be resolved in the courts of Ontario, Canada.
